Terms

These Terms of Service ("Terms") govern access to the Oz product operated by Alopay Inc. ("we", "us", or "our"). By using getoz.ai or any Oz service, you agree to these Terms. If you are using Oz on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Beta access

Oz is currently in closed beta. Access is granted at our discretion to design partners and approved waitlist members, and may be revoked at any time with notice. The service is provided as-is during beta, without warranty, express or implied.

Accounts and eligibility

You must be at least 18 years old and able to form a binding contract under applicable law to use Oz. You are responsible for keeping your credentials confidential, for all activity under your account, and for notifying us promptly of any unauthorized access at legal@getoz.ai.

Your content

You retain ownership of all content you upload and any content that Oz writes, rewrites, or places on your behalf. We do not claim rights to your content beyond what is required to operate the service for you (storage, processing, and routing to integrations you connect). You grant Alopay Inc. a limited, non-exclusive license to host, transmit, and process your content solely to provide the service and to improve its reliability and safety. Any feedback you voluntarily send us about Oz may be used without restriction or compensation.

Third-party integrations

Oz connects to third-party services you authorize, including Google Search Console, Google Analytics, your CMS, DataForSEO, Passionfruit Labs, and others. Your use of those services remains governed by their own terms. You are responsible for holding the rights and permissions needed to connect any account or property to Oz, and for honoring each third party's terms, rate limits, and acceptable-use policies. Alopay Inc. is not liable for the acts, omissions, or availability of third-party services.

AI-generated output

Oz produces AI-generated content, recommendations, and actions. Output may be inaccurate, incomplete, or unsuitable for your situation. You are responsible for reviewing output before acting on it, especially before publishing content, sending messages, or executing changes that affect third parties or live systems. Identical or similar output may be generated for other users; you do not receive exclusive rights to generic output.

Acceptable use

You agree not to use Oz to violate any law, infringe intellectual property rights, transmit malicious code, scrape or probe the service, circumvent access controls, reverse-engineer the service, or interfere with its integrity or availability. You agree not to use Oz to generate or distribute content that is illegal, harassing, defamatory, or intended to deceive, including content published to manipulate search rankings in ways that violate a search engine's guidelines. We may suspend or terminate accounts that abuse the service or its integrated third-party tools.

Payment and billing

Paid plans and per-action usage are billed according to the pricing in effect at the time of your subscription. Fees are non-refundable except as required by law or expressly stated at checkout. We may change pricing with at least 30 days' notice to existing subscribers, effective at the start of the next billing period. Taxes, if any, are your responsibility unless otherwise stated.

Service availability

We work to keep Oz available and responsive but do not commit to a specific uptime during beta. We may schedule maintenance, make changes, or temporarily suspend the service without liability. Material changes to functionality will be communicated in advance where reasonably practical.

Warranty disclaimer

To the maximum extent permitted by law, Oz is provided "as is" and "as available" without warranty of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted operation. We do not warrant that Oz will meet your requirements or that its output will be accurate, current, or reliable.

Limitation of liability

To the maximum extent permitted by law, Alopay Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, revenue, profits, or goodwill, arising from or related to your use of Oz. Our total aggregate liability for any claim arising out of or relating to these Terms or the service is limited to the greater of (a) the fees you paid to us for the service in the twelve months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars.

Indemnification

You agree to defend, indemnify, and hold harmless Alopay Inc. and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses, including reasonable attorneys' fees, arising out of or related to (a) your use of Oz, (b) your violation of these Terms, (c) your content, or (d) your violation of any third-party right, including intellectual property or privacy rights.

Term and termination

These Terms remain in effect while you use Oz. You may stop using the service at any time. We may suspend or terminate your access at any time for violation of these Terms, suspected fraud, risk to the service or to other users, or, during beta, at our discretion with reasonable notice. Sections that by their nature should survive termination, including Your content, Warranty disclaimer, Limitation of liability, Indemnification, Governing law, and this section, will survive.

Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated via email to the address on file or a notice on getoz.ai. Continued use of Oz after the effective date of an update constitutes acceptance of the updated Terms.

Governing law

These Terms are governed by the laws of the State of New York, United States, without regard to its conflict of laws principles. Disputes will be resolved in the state or federal courts located in New York County, New York, and each party consents to the personal jurisdiction of those courts.

Severability and entire agreement

If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect, and the unenforceable provision will be enforced to the maximum extent permitted by law. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Alopay Inc. regarding Oz and supersede any prior agreements on the same subject.
